Scope of work: This agreement covers the development of custom software as described in the attached project proposal. Any additional work not specified in the proposal will be considered out of scope and may be subject to additional fees.
Deliverables: The deliverables for this project will include the completed software, any necessary documentation and any other materials agreed upon in the project proposal.
Payment terms: An advance of 20% will be billed upon confirmation of the agreement. After receiving the payment we will start with the project. Further services will be billed on a monthly basis or as specified in the project proposal.
Warranty: The software will be warranted to perform substantially in accordance with the specifications set forth in the project proposal for a period of 90 days from the date of delivery. Any defects discovered during this time will be corrected at no additional cost to the client.
Confidentiality: Both parties agree to keep the details of this project and all related information confidential.
Termination: Either party may terminate this agreement at any time with written notice. In the event of termination, the client will be responsible for payment for any work completed up to the date of termination.
Governing law: This agreement and any disputes arising from it will be governed by the laws of Belgium. The court of Leuven has jurisdiction.
